Indian advertising technology company Affle 3i has signed a definitive agreement to acquire Israel-based Perion Network in an all-cash transaction valued at approximately $420 million, strengthening its global advertising technology presence.

Under the agreement announced on November 1, 2026, Affle’s Israel-based subsidiary, Affle 3iL Ltd., will acquire all outstanding Perion shares for $11.70 per share, representing a 34.5% premium over its October 30 closing price.

The acquisition will combine Perion’s capabilities in retail media, connected TV (CTV) and digital out-of-home (DOOH) advertising with Affle’s mobile marketing and performance-led consumer conversion technology.

The transaction has received board approvals from both companies and is subject to regulatory clearances, shareholder approval and other customary closing conditions. It is expected to close in early 2027.

Affle CEO Anuj Khanna Sohum said the combination would bring together complementary technologies and intellectual property, creating opportunities to improve advertising returns across sectors, including e-commerce, retail and healthcare.

Following completion, Perion will operate as a wholly owned subsidiary of Affle under its existing brand.
